Bain Capital has put Inspire Entertainment Resort up for sale through an open market bidding process, according to a notice obtained by The Korea Times and confirmed by the private equity firm1. The resort sits near Incheon International Airport on Yeongjong Island and opened last year1.

Management control of MGE Korea Limited, the Korean subsidiary of U.S.-based Mohegan Gaming & Entertainment, was transferred to Bain Capital in February of this year1. In 2021, a Mohegan subsidiary secured a $275 million loan from Bain Capital, pledging its shares in the Korean unit as collateral; after Mohegan failed to meet the loan conditions, control passed to Bain1.

Bain said the sale process was originally intended to complete the asset transfer and establish the property's fair market value, an essential step toward finalizing legal ownership1. Because MGE Korea is not publicly traded, assessing its fair market value required an open bidding process, including a formal sale process and an independent valuation by a third-party accounting firm1. Bain initially sought full ownership through a credit bid, but said it would seriously consider any offer submitted through the open bidding process1.

The resort generated 219 billion won ($157 million) in revenue during its 2024 fiscal year, from October 2023 to September 2024, but posted an operating loss of 156.4 billion won1. It has three five-star hotel towers with a total of 1,275 rooms, the nation's largest foreigner-only casino, a convention center, Korea's first 15,000-seat multipurpose arena dedicated to live entertainment and a glass-domed indoor water park1. It was developed by Mohegan, an operator of eight integrated resorts worldwide1.

The Ministry of Culture, Sports and Tourism, which issued Inspire's casino license, said it would refrain from commenting until more details are confirmed1.

"The license was granted to Inspire, so regardless of any changes in share ownership, Inspire is still obligated to meet certain conditions, such as making specific investments and constructing required facilities. We will continue to monitor how those terms are being upheld."

Two outcomes are possible: Bain secures full legal ownership by finalizing the transfer, or a third party acquires control of the resort1. A transfer of shares alone does not require separate approval, but under the terms of the casino license, a change in the company's CEO would require reapproval from the ministry1. When Mohegan was chosen as operator in 2015, it entered a conditional agreement with the government to run a foreigner-only casino and maintain all necessary legal permits, in return for ensuring the project provided public benefit and contributed to cultural development1. After taking over, Bain submitted a new business plan outlining phased expansion including a theme park, shopping mall and golf course1.

What it means for players

Inspire is one of 17 casinos in South Korea, and like all but one it caters exclusively to foreign visitors; only Kangwon Land in Gangwon Province is open to Korean nationals1. The resort's casino has underperformed, with turnout, particularly from China, falling well short of expectations despite the airport location1. A change of owner would not by itself alter the license, but a new CEO would need reapproval from the tourism ministry1. For visitors, the property's hotel, arena and water park operations are unaffected by the sale process as described. Whether a new owner would keep the expansion plans, including the theme park, shopping mall and golf course, has not been reported.

What happens next

The open bidding process includes a formal sale process and an independent valuation by a third-party accounting firm1. Bain has not specified whether the sale will be structured as a full equity sale, an alternative format or target specific investor types1. The tourism ministry said it will monitor how license conditions are upheld1. No closing date or bid deadline has been reported.
